Terms & Conditions (Trading and Services)
1. Scope of Business
High Force Engineering Solutions provides industrial tools, equipment, calibration, and related services on a business-to-business (B2B) and business-to-consumer (B2C) markets.
2. Orders & Quotations
- Quotations are valid for 30 days, unless stated otherwise.
- Orders must be confirmed in writing (purchase order, email, or signed contract).
- The Company reserves the right to accept or decline any order.
3. Pricing & Payment
- Prices are quoted in Jordanian Dinar (JOD) or other agreed currencies, excluding VAT, customs duties, and shipping unless specified.
- Payment terms are set per quotation or contract.
- Late payments may incur charges as permitted by Jordanian law.
4. Delivery & Transfer of Risk
- Delivery timelines are indicative and subject to supplier availability, logistics, and customs clearance.
- Risk passes to the Customer upon delivery to the agreed location.
- All deliveries and shipments shall be carried out in accordance with Incoterms® 2020, as agreed in the quotation or contract.
5. Warranty & Liability
- Products are covered strictly by the manufacturer’s warranty.
- Calibration services are performed according to international standards; liability is limited to re-performance of service if proven defective.
- The Company is not liable for indirect, incidental, or consequential damages such as production loss or downtime.
6. Returns & Claims
- Returns require prior written approval and are subject to inspection.
- Claims for damage or shortage must be submitted in writing within 7 days of delivery.
7. Confidentiality
Both parties agree to protect and maintain confidentiality of all commercial, technical, and financial information exchanged during business transactions.
8. Force Majeure
The Company is not responsible for delays or non-performance due to circumstances beyond its reasonable control (e.g., natural disasters, strikes, transport delays, government restrictions).
9. Governing Law & Jurisdiction
These Terms are governed by the laws of the Hashemite Kingdom of Jordan. Disputes shall be subject to the jurisdiction of the competent courts in Jordan, unless otherwise agreed in writing.
